Terms and Conditions for Consignment Service

1. Scope of Agreement: The Seller agrees to consign the above-described vehicle (“Vehicle”) to American Rev Limited for the purpose of selling the Vehicle on behalf of the Seller under the terms and conditions set forth in this Agreement.
2. Term of Consignment: The term of this Agreement shall begin on the date stated above and continue for a period of until the Vehicle is sold, unless terminated earlier as provided herein.
3. Sales Price: The Seller authorizes the Dealer to list the Vehicle for sale at a starting price of NZD $ which may be adjusted with Seller’s approval. The Seller understands that the final selling price may differ based on market conditions, negotiations, or any other factors. Any reductions in the listing price must be pre-approved by the Seller.
4. Commission and Fees: For the successful sale of the Vehicle, the Seller agrees to pay the Dealer a commission of % of the final sale price. This amount shall be deducted from the proceeds of the sale at the time of closing. In addition, the Seller agrees to pay for any necessary repairs, or improvements as discussed and approved by both parties. Any pre-agreed expenses incurred by the Dealer will also be deducted from the sale proceeds unless paid directly by the Seller.

Consignment Commission Structure: At American Rev Limited, we offer a competitive consignment commission structure for American muscle cars based on the value of the vehicle:

• For vehicles valued under NZD $100,000: Commission: 7% to 10% of the final sale price
• The exact percentage will depend on the vehicle’s condition, market demand, and the level of marketing and preparation required for the sale.
• For vehicles valued over NZD $100,000: Commission: 4% to 7% of the final sale price

Title and Ownership: The Seller represents and warrants that they hold legal title to the Vehicle and that the Vehicle is free of any liens, encumbrances, or other claims, except as noted below: The Seller agrees to provide the title and any necessary documentation required to transfer ownership to the buyer.
6. Dealer’s Responsibilities: The Dealer will:
7. a) Display the Vehicle at their dealership, advertise it, and promote it to potential buyers.
8. b) Negotiate in good faith on behalf of the Seller.
9. c) Handle all paperwork related to the sale, including transfer of title and payment.
10. Seller’s Responsibilities: The Seller agrees to:
11. a) Deliver the Vehicle to the Dealer in good, clean, and operable condition.
12. b) Maintain insurance on the Vehicle while it is in the Dealer’s possession until it is sold.
13. c) Provide full disclosure of the Vehicle’s condition, including any known mechanical issues or damage.

Storage and Display of Vehicle: The Seller agrees to keep the Vehicle at their own premises until it is sold. The Dealer will market the Vehicle through various channels (e.g., online listings, social media, etc.) and coordinate viewings or test drives with potential buyers. The Seller is responsible for making the Vehicle available for viewings and/or test drives by appointment, arranged through the Dealer.

Responsibilities While in Seller’s Possession: While the Vehicle is in the Seller’s possession, the Seller agrees to:

1. a) Keep the Vehicle in clean and operable condition.
2. b) Maintain appropriate insurance coverage for the Vehicle until the sale is completed.
3. c) Promptly make the Vehicle available for viewings or test drives as coordinated by the Dealer.
4. d) Allow the Dealer to inspect the Vehicle upon request to verify its condition for prospective buyers.

Risk of Loss: Since the Vehicle remains in the Seller’s possession, the Seller assumes all responsibility and risk for any damage, theft, or loss that may occur while the Vehicle is in their care. The Dealer is not liable for any damages or losses to the Vehicle while it is stored at the Seller’s premises.

8. Termination: Either party may terminate this Agreement by providing written notice to the other party. If the Agreement is terminated, the Seller must retrieve the Vehicle within 5 business days of receiving notice of termination. If the Vehicle is not retrieved within this time frame, storage fees of NZD $50 per day may apply.
9. Risk of Loss: The Seller agrees that the Vehicle will be stored and displayed at the Dealer’s premises at the Seller’s risk. The Seller is responsible for maintaining insurance coverage on the Vehicle while it is in the Dealer’s possession.
10. Payment to Seller: Upon the sale of the Vehicle, the Dealer will provide the Seller with a breakdown of the final sale price, commission, fees, and any other expenses. The Dealer will pay the Seller the net proceeds within 3-5 business days after the sale has been completed.
11. Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or discussions regarding the consignment of the Vehicle. Any modifications to this Agreement must be made in writing and signed by both parties.
12. Governing Law: This Agreement will be governed by and construed in accordance with the laws of New Zealand.
